The real threat is who owns the AI relationship
Independent grocers have survived Walmart, Kroger consolidation, and two decades of e-commerce disruption on the strength of local relationships: the butcher who knows your order, the pharmacist who knows your family. A large chain's AI assistant can simulate the personal touch an independent grocer built over years, at a scale no single-store operator can match, using purchase history and inventory data the chain already owns.
That reframes the competitive question. It is no longer store footprint, price, or even loyalty program depth. It is whether a shopper's list, preferences, and household purchase history live inside a system the independent grocer controls, or inside a national chain's or a third-party assistant's model. Zlotnitsky's framing is that this decision gets made earlier than most grocers think: "The battle for grocery is largely occurring, or increasingly occurring, before the shopper ever enters the store."
Why a cooperative bankrolled this instead of a VC round alone
Breez AI's ownership structure is the story as much as its product. Associated Wholesale Grocers, described in the reporting as the largest independent grocery cooperative in North America, is Breez AI's largest investor. AWG's CFO sits on the board, and David Smith, AWG's former president and CEO, serves as Breez AI's chairman. That is not a typical AI startup cap table. It is a defensive industry consortium structure, closer to how airlines jointly funded shared booking infrastructure than how most retail AI vendors get funded.
The logic is straightforward once you see the governance: no single independent grocer has the data volume or engineering budget to build a competitive AI shopping layer alone, but a cooperative representing thousands of member stores does. By building shared infrastructure rather than each independent grocer buying a point solution, AWG's structure lets its members pool the one asset a hyperscale AI vendor cannot replicate cheaply, which is aggregated regional purchase data across a cooperative's full member footprint.
The retail media angle CTOs are underpricing
AI-driven contextual advertising distributes its gains unevenly. The Retail TouchPoints reporting flags that AI enables contextual ad targeting that disproportionately benefits the largest platforms, which generate outsized retail media revenue and widen the pricing gap between national chains and smaller competitors. That is a second-order effect worth taking seriously: big chains get better AI, and better AI compounds into a better-funded retail media business, which then funds further AI investment, a loop independents cannot easily enter without shared infrastructure of their own.
Zlotnitsky's own words underscore why this matters commercially, not just competitively: "It's data now that's as much of a product as anything." That is the same thesis national retail media networks have built billion-dollar businesses on. If independents cede the AI shopping-list layer to national chains or third-party assistants, they are not just losing a UX battle, they are handing over the data asset that increasingly funds the rest of the business.
The numbers so far are real but early
Breez AI's headline metric, roughly 20 percent higher basket sizes among early adopters compared to non-users, is attributed to reduced multi-store shopping: a shopper who trusts one AI-curated list is less likely to split their basket across a discount grocer and a specialty store. That is a plausible mechanism and a meaningful number if it holds at scale, though it comes from Breez AI itself and early-adopter self-selection bias (grocers and shoppers who opt into a new AI tool early are not a random sample) means it should be read as a promising early signal, not a proven category-wide lift.
Zlotnitsky's growth target, independent grocers capturing 25 percent or more of total grocery sales within a decade, is ambitious against a market where consolidation has run the other direction for years. He is also careful to temper the AI-does-everything narrative that vendors often lean on: "I don't believe that consumers want AI to do everything for them. I think what they're looking for is efficiency, time saving." That is a more defensible product thesis than full automation, and it is consistent with what has worked in AI shopping assistants elsewhere this year, useful narrow tasks rather than end-to-end autonomy.
What this means if you run technology for a regional or independent chain
If you are the CTO or head of digital for a regional grocery chain or a cooperative member, the Breez AI story is a preview of a decision every mid-size retailer in every category will face: whether to build or join shared AI infrastructure with peers, or wait and risk ceding the customer data layer to whichever platform gets there first. The cooperative-funded model AWG built is specific to grocery's ownership structure and will not transplant cleanly everywhere, yet the underlying lesson, that shared data infrastructure beats each competitor building a worse version alone, generalizes well beyond grocery.
The window to make that call is shrinking faster than most boards realize. Every quarter a national chain's AI shopping assistant handles more of a shared customer's list-building, meal-planning, and reorder decisions is a quarter that shopper's purchase history accrues to a system the independent retailer does not control. Waiting for a mature, cheaper vendor product to emerge before deciding your data strategy actively works against you here, because the data advantage compounds and it is not retroactive.
The bigger pattern beyond grocery
Breez AI is a grocery story, but the structural bet it represents shows up everywhere retail AI is heading: the layer that plans, recommends, and initiates a purchase is becoming more valuable than the storefront that fulfills it. That is the same dynamic playing out in agentic commerce protocols from Visa, Stripe, and OpenAI, and in Anthropic's own shopping-agent blueprints released this same week. Whoever controls that upstream layer captures the customer relationship and the data that comes with it, regardless of which physical or digital storefront ultimately completes the transaction.
For enterprise technology leaders outside grocery, the actionable read is to audit where your own category's equivalent of the shopping list lives today, and who is building the AI layer that will own it in two years. If the answer is a competitor, a marketplace, or a third-party assistant rather than your own systems, the AWG and Breez AI approach, pooling resources with peers to build shared infrastructure rather than ceding the layer by default, is a credible model worth studying even outside grocery.
